Professional Services Terms 1. Agreement Terms Primary Contract Basis: The applicable terms shall be either the IT2022 General Terms and Conditions for IT Procurement (or equivalent, up-to-date terms) or the Customer’s own, separately agreed and approved terms.

Priority: Any terms specifically agreed upon in the Project Agreement shall take precedence over the general terms.

1. Confidentiality Non-Disclosure Agreement (NDA): All consultants participating in the assignment shall be subject to a separate, project-related Non-Disclosure Agreement (NDA), which is executed prior to the commencement of the project.

Obligation: Consultants commit not to disclose or use the Customer’s confidential information to external parties.

1. Intellectual Property Rights (IPR) Transfer to Customer: All Intellectual Property Rights (IPR) for the deliverables and work products created during the engagement shall transfer to the Customer upon full payment of the corresponding invoices.

Background IPR: Lifetime’s Background IPR and pre-existing materials shall remain the property of Lifetime. The Customer is granted the necessary right of use to utilize the deliverables.

1. Data Protection GDPR Compliance: Services shall be implemented in compliance with the requirements of the European Union's General Data Protection Regulation (GDPR).

Processing of Personal Data: Terms concerning the processing of personal data (EHK) shall be applied as specified in the special conditions of IT2022. A separate Data Processing Agreement (DPA) will be concluded if necessary.

1. Liability and Warranties Liability: Liabilities and limitations of liability shall be determined according to the general terms of IT2022.

Specifics: Service-specific limitations and more detailed warranty terms shall be defined in the Project Agreement.

1. Remote Work and Travel Costs Work Location: Remote work shall primarily be performed from the Lifetime Studio premises in Espoo, Finland.

Expenses: Travel costs, travel time, and daily allowances are not included in the service price, unless separately agreed upon. Any potential travel and associated expenses will be agreed upon on a case-by-case basis in advance.

Sopimus ja projektiehdot

1. Sopimusehdot Pääasiallinen sopimusperusta: Sovellettavat ehdot ovat joko IT2022 Yleiset sopimusehdot IT-hankinnoista (tai vastaavat ajanmukaiset ehdot) tai Asiakkaan omat, erikseen sovitut ja hyväksytyt ehdot.

Prioriteetti: Projektisopimuksessa erikseen sovitut ehdot ovat ensisijaisia yleisiin ehtoihin nähden.

1. Luottamuksellisuus Salassapitosopimus (NDA): Kaikkiin toimeksiantoon osallistuviin konsultteihin sovelletaan erillistä, projektiin liittyvää salassapitosopimusta (Non-Disclosure Agreement, NDA), joka allekirjoitetaan ennen projektin aloittamista.

Velvoite: Konsultit sitoutuvat olemaan paljastamatta tai käyttämättä Asiakkaan luottamuksellista tietoa ulkopuolisille.

1. Immateriaalioikeudet (IPR) Siirtyminen Asiakkaalle: Kaikki toimeksiannon aikana luotujen tuotosten ja työsuoritusten (Deliverables and Work Products) immateriaalioikeudet siirtyvät Asiakkaalle, kun niitä koskevat laskut on maksettu kokonaisuudessaan.

Tausta-IPR: Lifetime-yrityksen omistamat tausta-IPR (Background IP) ja aiemmin olemassa olevat materiaalit (pre-existing materials) pysyvät Lifetime-yrityksen omistuksessa. Asiakas saa niihin tarvittavan käyttöoikeuden toimitusten hyödyntämiseksi.

1. Tietosuoja GDPR-vaatimusten noudattaminen: Palvelut toteutetaan Euroopan unionin yleisen tietosuoja-asetuksen (GDPR) vaatimusten mukaisesti.

Henkilötietojen käsittely: Henkilötietojen käsittelyä koskevat ehdot (EHK) noudattavat IT2022:n erityisehdoissa määriteltyä. Erillinen henkilötietojen käsittelysopimus (DPA) solmitaan tarvittaessa.

1. Vastuunrajoitukset ja Takuut Vastuu: Vastuut ja vastuurajoitukset määräytyvät IT2022:n yleisten ehtojen mukaisesti.

Tarkennukset: Palvelukohtaiset rajoitukset ja tarkemmat takuuehdot määritellään yksityiskohtaisesti projektisopimuksessa.

1. Etätyö ja Matkakustannukset Työskentelypaikka: Etätyö suoritetaan ensisijaisesti Lifetime Studio -toimitiloista, Espoosta, Suomesta.

Kulut: Matkakustannukset, matka-aika ja päivärahat eivät sisälly palvelun hintaan, ellei erikseen ole sovittu. Mahdollisista matkoista ja niihin liittyvistä kuluista sovitaan tapauskohtaisesti etukäteen.
