These terms apply to professional services, consulting, and custom development provided by Lifetime Studio ("Provider") to the Customer.
The applicable terms shall be either the IT2022 General Terms and Conditions for IT Procurement (or equivalent) or the Customer’s own separately agreed terms. However, the specific terms defined in the Project Agreement and this document shall take precedence.
Non-Disclosure: All consultants participating in the assignment are subject to a strict Non-Disclosure Agreement (NDA). Obligation: Consultants commit not to disclose or use the Customer’s confidential information for any purpose other than the project.
Deliverables: IPR for unique deliverables created specifically for the Customer (e.g., configurations, specific reports) shall transfer to the Customer upon full payment. Background IPR: Lifetime Studio retains all rights, title, and interest in its Background IPR, including the DWS IQ Platform, Firehorse, Lifetime Fleet, and any pre-existing code, libraries, AI models, or tools used to deliver the services. The Customer is granted a non-exclusive license to use such Background IPR as part of the deliverables.
GDPR: Services are implemented in compliance with the EU General Data Protection Regulation (GDPR). Processing: If the Provider processes personal data on behalf of the Customer, the IT2022 Special Terms for the Processing of Personal Data shall apply. A separate Data Processing Agreement (DPA) will be executed if required.
Liabilities are determined according to the general terms of IT2022, unless otherwise agreed in the Project Agreement. The Provider is not liable for indirect damages or loss of profit.
Location: Work is primarily performed remotely from Lifetime Studio premises in Espoo, Finland. Expenses: Travel costs and daily allowances are not included in the service price and must be agreed upon in advance.
